Acquisition of Assets from Local Business – Commercial Case Study

 

The O’Reilly Stewart Commercial Department are pleased to have assisted in the six-figure acquisition of a local business.

Commercial solicitor, Conor Cleverley, was instructed on behalf of our client in the purchase of assets from the local business. The acquisition included the drafting of an Asset Purchase Agreement and ancillary commercial documentation. The local business was struggling financially and the Commercial Department navigated the complexities of acquiring a business which is faced with administration.

The Commercial Department was assisted by the Employment Team in respect of the Transfer of Undertakings (Protection of Employment) Regulations 2006 (TUPE). Employment Director, Seamus McGranaghan, was instructed in relation to the transfer of employees and the drafting of restrictive covenants for certain employees to ensure a seamless transition period.

The Commercial Department completed the transaction on 25th October 2024 – four weeks from the date instructions were received by the Department.
